Terms of Service

These Terms of Service ("Terms") govern your access to and use of shaxx.ca (the "Site") and provide general terms for services offered by Shaxx Digital Ltd. ("Shaxx Digital", "we", "us", or "our"), based in Abbotsford, British Columbia, Canada.
A proposal, statement of work, order, or written service agreement may contain additional or different terms for a client engagement. If there is a conflict, that signed or accepted project document controls for that engagement.
1. Our services
Shaxx Digital provides digital agency and product services, which may include website strategy and development, search optimization, paid campaign management, brand design, custom apps and software, portals, automation, voice systems, analytics, and production coordination. The specific deliverables, assumptions, exclusions, timeline, and responsibilities are confirmed in writing before work begins.
2. Pricing & payment
Pricing shown on the Site is published in good faith and may change over time. The price that applies to your engagement is the one confirmed in writing with you. Unless otherwise agreed:
- Monthly plans renew for the period stated in the proposal until cancelled;
- Project deposits, milestones, taxes, media spend, software, store, hosting, printing, postage, and other third-party costs are handled as stated in the project scope;
- Fees are due as invoiced, and late or failed payments may pause work or service.
3. Performance and platform outcomes
Marketing, search, advertising, website, and software outcomes depend on factors outside our control, including customer demand, competition, budgets, client response, third-party platforms, and changes in policies or algorithms. We do not guarantee rankings, sales, revenue, leads, advertising approval, or store approval unless a specific written agreement expressly defines a limited measurable commitment and remedy.
4. Your responsibilities
To deliver our services, we rely on you to provide accurate information, timely feedback and approvals, and appropriate access to accounts, assets, content, and systems. You are responsible for the legality, accuracy, substantiation, permissions, licences, privacy notices, and consents relating to materials, customer data, claims, audiences, messages, and instructions you provide.
You remain responsible for laws that apply to your business and communications, including sector rules, consumer protection, accessibility, privacy, marketing consent, and Canada's Anti-Spam Legislation where relevant.
5. Cancellation
You may cancel a monthly plan according to the notice method in the applicable proposal. Cancellation normally takes effect at the end of the current paid billing period. Project deposits, completed milestones, committed third-party costs, media spend, and fees already earned are non-refundable unless the project agreement says otherwise or applicable law requires a refund.
6. Intellectual property
Ownership and licence terms for client work are defined in the applicable project scope. Unless that scope says otherwise, after full payment you receive ownership of final, custom deliverables created specifically for the engagement. Third-party materials, open-source components, stock assets, fonts, platform services, and our pre-existing tools, methods, frameworks, templates, and know-how remain subject to their existing ownership and licence terms.
Site content, including text, graphics, code, concept work, and Shaxx Digital brand assets, is owned by Shaxx Digital or its licensors and may not be copied or republished without permission.
7. Third-party services and app stores
Our work may use or connect third-party platforms, hosting, payment providers, communication providers, libraries, APIs, advertising networks, printing partners, and app stores. Your use of those services is subject to their own terms, fees, review processes, and availability.
For mobile apps, we may support preparation and submission to the Apple App Store and Google Play. The platform owner controls developer-account acceptance, policy interpretation, review timing, approval, removal, and future compatibility. Store acceptance is not guaranteed.
8. Confidentiality and data
Each party will use reasonable care to protect confidential information received for an engagement and will use it only for the agreed work, subject to legal obligations. Personal information is handled according to our Privacy Policy and the project-specific data responsibilities agreed with the client.
9. Acceptable use of the Site
You may not misuse the Site, attempt unauthorized access, interfere with its operation, distribute malicious code, scrape it in a way that creates unreasonable load, or use its content to misrepresent an affiliation with Shaxx Digital.
10. Disclaimers
The Site and our services are provided "as is" and "as available". Except for any express guarantee confirmed in writing, we make no warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted or error-free.
11. Limitation of liability
To the maximum extent permitted by law, Shaxx Digital will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim arising from the Site or our services will not exceed the amount you paid to us for the services giving rise to the claim in the three (3) months before the claim arose.
12. Indemnification
You agree to indemnify and hold Shaxx Digital harmless from claims arising out of materials you provide, your use of our services, or your breach of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of British Columbia have jurisdiction over any dispute, subject to any agreed dispute-resolution process.
14. Changes
We may update these Terms from time to time. The "Last updated" date reflects the current version, and continued use of the Site after changes means you accept them.
